AISongMaker Commercial License Terms

License Commencement: These terms take effect for a musical work when a commercial license is granted for that work on aisongmaker.io.

1. Contracting Parties

This Agreement is entered into between:

Service Provider: A company operating the website aisongmaker.io, hereinafter referred to as the "Provider".
Business Address: 30 N Gould St Ste N, Sheridan, WY 82801, USA

Subscriber: The individual or entity that holds or previously held a paid subscription on aisongmaker.io, hereinafter referred to as the "Subscriber".

2. Definitions

• 2.1 "Generated Content" refers to musical works created by users through the platform's artificial intelligence technology.
• 2.2 "Commercial Use" means any use that directly or indirectly generates economic benefits, including but not limited to sales, licensing, distribution, playback, adaptation, or other forms of exploitation.
• 2.3 "Licensed Work" means a musical work generated on the platform for which a commercial license has been granted, as evidenced by a commercial license certificate issued for that work.

3. License Scope

• 3.1 The Platform hereby grants the Subscriber full, perpetual, and worldwide ownership and usage rights for each Licensed Work.
• 3.2 The rights granted include, but are not limited to:
• 3.2.1 The right to use, copy, store, and modify the generated content.
• 3.2.2 The right to distribute, publish, and list the content across any media channels.
• 3.2.3 The right to create and exploit derivative works.
• 3.2.4 The right to publicly display, perform, and broadcast the content.
• 3.2.5 The right to use the works for commercial purposes.
• 3.2.6 The right to sublicense any of the above rights to third parties.
• 3.2.7 The right to exercise all ownership rights in any jurisdiction worldwide.
• 3.3 Each Licensed Work shall retain all commercial rights and privileges granted herein indefinitely. These perpetual rights shall survive the expiration or termination of the subscription and remain valid indefinitely.
• 3.4 A commercial license certificate may be issued for a Licensed Work and constitutes evidence of the rights granted under this Agreement.

4. Member Responsibilities

• 4.1 The member agrees to comply with the platform's terms of use, policies, and any applicable guidelines.
• 4.2 The member agrees not to use any AI-generated music for illegal, unlawful, or harmful purposes, including but not limited to activities that infringe on third-party rights or violate applicable laws and regulations.

5. Platform Warranties

• 5.1 The Platform warrants that it possesses all necessary rights and authorizations to provide the services described in this agreement.
• 5.2 The Platform warrants that the AI-generated music will not knowingly infringe upon any existing third-party copyrights.
• 5.3 The Platform confirms that, in accordance with the open-source licenses of the underlying AI models, it is authorized to grant users commercial usage rights for all music generated through the platform.
• 5.4 The Platform makes no warranties or representations regarding the quality, merchantability, or fitness for a particular purpose of the AI-generated music.

6. Limitation of Liability

• 6.1 The Platform shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from the user's use of the AI-generated content.
• 6.2 The user assumes all risks and responsibilities associated with the use of the AI-generated content, including compliance with applicable laws and third-party rights.

7. Certificate Validity

• 7.1 A commercial license certificate issued for a Licensed Work remains valid indefinitely and may be verified through the unique verification link or QR code on the certificate.
• 7.2 Certificates may be downloaded from the song menu on aisongmaker.io for Licensed Works.
